Terms of Service

1. Acceptance of Terms

By accessing or using the ATD Systems platform ("Service") operated by American Trans-Data Corp. ("ATD Systems", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ATD Systems provides fleet technology software including modules for fleet management, maintenance, tour & charter operations, DMV management, and compliance automation. The Service includes web-based dashboards, workflow tools, integrations, and APIs.

3. Accounts and Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Billing and Payment

Subscription fees are billed monthly via Stripe based on the modules and seat/vehicle counts on your plan. See our pricing page for current rates. Payments are non-refundable except as described in our cancellation policy.

5. Cancellation

You may cancel your subscription at any time through the billing portal. See our cancellation and refund policy for details.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) share account credentials with unauthorized parties; (c) attempt to gain unauthorized access to the Service or its systems; (d) transmit malicious code or interfere with the Service's operation; (e) reverse engineer, decompile, or attempt to derive the source code of any platform component.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy. We collect and process data necessary to deliver the Service, including vehicle, driver, and compliance information you provide.

8. Intellectual Property

The Service, including all software, designs, content, and trademarks, is owned by American Trans-Data Corp. and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use the Service per these terms.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." ATD Systems does not guarantee that compliance automation will catch every regulatory deadline or that information is error-free. You remain solely responsible for your fleet's regulatory compliance. The Service is a support tool, not a substitute for professional compliance management.

10. Limitation of Liability

To the maximum extent permitted by law, ATD Systems shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including fines, penalties, or regulatory actions. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Modifications

We may update these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

12. Governing Law

These terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Orange County, California.
